License Agreement

This End User License Agreement (“License Agreement” or “EULA”) is a legal agreement between you (either an individual or a legal entity, “you” or “Licensee”) and Editale OÜ (registry code 17430609, registered address Narva mnt 7-557, 10117 Tallinn, Estonia) (“Licensor”, “we”, “us”, or “our”) for the use of the Beolta platform accessible at beolta.com (the “Software”). The Software comprises the proactive matchmaking platform, public buyer match pages, the contractor portal, outreach and notification engines, and any related APIs.

By accessing or using the Software, you agree to be bound by this License Agreement. If you do not agree, do not use the Software. This License Agreement is supplemental to and should be read in conjunction with our Terms of Service and Acceptable Use Policy.

1. License Grant

1.1 Buyer-Side Access

We grant any buyer or visitor a limited, non-exclusive, non-transferable, revocable license to access and view public match pages at app.beolta.com/match/<token> for the purpose of evaluating the curated contractor shortlist presented therein. This access is provided free of charge and does not require registration. Match-page tokens are valid for 90 days from generation and are subject to revocation upon buyer opt-out.

1.2 Contractor Portal Access

Subject to the terms of this Agreement and your active subscription (for paid tiers), we grant registered contractors a limited, non-exclusive, non-transferable, revocable license to access and use the contractor portal solely for their internal business purposes, in accordance with the features available under their subscription tier.

Subscription tiers and key entitlements:

• Free: Profile view, opt-out / pause, basic anonymized match notifications. No subscription fee.
• Verified: Verified badge, analytics, de-anonymized match notifications.
• Growth: Deeper buyer intel (signals, decision-maker details), multi-vertical presence, multi-seat access.
• Scale: Outbound webhooks for match events (see Section 5), reduced success fee rate, dedicated account manager.

This license permits you to access the Software through a web browser or authorized client application, use the Software’s features in accordance with your subscription tier, and export data generated through your use of the Software (subject to the terms herein). Where your tier includes outbound webhooks, you may also receive match-event notifications at an HTTPS endpoint of your choice.

2. License Restrictions

You may not:

• Sublicense, sell, rent, lease, transfer, assign, or distribute the Software or access thereto to any third party
• Copy, modify, translate, adapt, reverse-engineer, decompile, disassemble, or create derivative works based on the Software
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
• Use the Software to build a competing matchmaking or contractor-buyer introduction product, or systematically extract data from the Software for use outside the Software
• Access the Software through automated means (bots, scrapers, crawlers). Receiving outbound webhook notifications at an endpoint you control (where your tier includes that entitlement) is permitted
• Share login credentials or allow multiple individuals to access a single-seat contractor account simultaneously (multi-seat access is a Growth-tier and above entitlement)
• Use the Software in any manner that violates applicable law or our Acceptable Use Policy

3. Intellectual Property

3.1 Our Ownership

The Software, including all source code, algorithms, AI models, matching logic, user interface design, documentation, and underlying technology, is and remains the exclusive property of the Licensor. This License Agreement does not transfer any ownership rights to you. Beolta™ and all related logos and branding are trademarks of Editale OÜ.

3.2 Your Data

You retain full ownership of all data you provide to us, including source URLs submitted for profile re-scraping (“Your Data”). We do not claim ownership over Your Data. You grant us a limited license to process Your Data solely to provide and improve the Service.

Upon termination of your account, you may request export of Your Data within 30 days. After this period, we may delete Your Data in accordance with our Privacy Policy and applicable retention obligations.

4. AI-Generated Content

The Software uses artificial intelligence to generate match scores, contractor shortlists, research briefs, and outreach copy (“AI Outputs”). You acknowledge and agree that:

• No guarantee of accuracy: AI Outputs are generated algorithmically and may contain errors, inaccuracies, or outdated information. They are provided for informational purposes only and should be independently verified before use in business decisions.
• Not professional advice: AI Outputs do not constitute legal, financial, commercial, or professional advice of any kind.
• Your responsibility: You are solely responsible for how you use AI Outputs, including ensuring compliance with applicable laws when conducting outreach based on AI-generated match information or outreach copy.
• Continuous improvement: We may update AI models and algorithms at any time to improve quality. This may result in changes to the format, scoring, or nature of AI Outputs.

5. Outbound Webhooks

Outbound webhooks are a Scale-tier entitlement. Where enabled, Beolta sends a signed HTTPS POST notification when your firm is included in a match, to an endpoint URL that you register in the contractor portal. Additional event types may be added over time. The following additional terms apply:

• You are responsible for the security, availability, and correctness of the endpoint you register, including TLS configuration and HMAC-signature verification
• You must keep the webhook signing secret confidential and rotate it promptly if compromised
• We reserve the right to disable delivery to an endpoint that returns persistent errors, exhibits abuse patterns, or violates this Agreement
• The webhook event schema may evolve; we will provide reasonable notice of breaking changes where feasible
• Beolta does not currently offer a public read/write REST API. Programmatic data access is limited to the outbound webhook stream and CSV exports available in the portal

6. Service Availability

We strive to maintain high availability of the Software but do not guarantee uninterrupted access. The Software may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice where possible)
• Emergency security patches or critical updates
• Factors beyond our reasonable control (force majeure)

7. Suspension & Termination

7.1 By You

You may terminate this License Agreement at any time by cancelling your subscription (for paid tiers) or opting out of the contractor portal (for the Free tier) and ceasing all use of the Software. See our Refund & Cancellation Policy for details on billing implications. Commission obligations under the Terms of Service survive termination as specified therein.

7.2 By Us

We may suspend or terminate your license immediately if:

• You breach any term of this Agreement
• You violate our Acceptable Use Policy
• Your subscription payment fails and remains unresolved through our standard dunning process
• Failure to pay success fees invoiced under the commission clause after net 30 days plus dunning (as described in the Refund & Cancellation Policy) may result in portal access suspension pending resolution
• Required by law or regulation
• Your use of the Software poses a security risk to us or other users

Upon termination, your right to use the Software ceases immediately. Sections 2, 3, 4, 8, 9, and 10 survive termination.

8. Disclaimer of Warranties

The Software is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of AI-generated outputs, match scores, or research briefs.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability arising from or related to this License Agreement shall not exceed the amounts paid by you to us in the twelve (12) months preceding the event giving rise to liability. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. For free-tier users and buyers, liability is capped at USD $100 or the minimum permitted by applicable law.

10. Governing Law & Dispute Resolution

This License Agreement is governed by the laws of the Republic of Estonia. Any disputes arising under this Agreement shall be resolved in accordance with the dispute resolution procedures set forth in our Terms of Service.

EU / UK consumer-protection carve-out: If you are a resident of the European Union or the United Kingdom, and applicable mandatory local consumer-protection laws grant you non-waivable rights, those rights are not limited by this Agreement. In the event of a conflict, your mandatory local rights prevail over the Estonian governing-law clause to the extent they protect you as a consumer.

11. Updates to This Agreement

We may update this License Agreement from time to time, subject to the notice requirements in the ToS Version Governance section of our Terms of Service. We will notify you of material changes by posting the revised Agreement on this page and updating the effective date. Your continued use of the Software after any applicable notice period constitutes acceptance of the updated Agreement.

12. Entire Agreement

This License Agreement, together with the Terms of Service, Privacy Policy, Cookie Policy, Acceptable Use Policy, and Refund & Cancellation Policy, constitutes the entire agreement between you and us regarding the use of the Software. In the event of a conflict between this License Agreement and the Terms of Service, the Terms of Service shall prevail.
